By using this site, www.goldmenu.com, (the "Site"), you ("you" or the "End User") agree to the terms and conditions in this Agreement between you and GM. ("GoldMenu.com"). If you do not wish to agree to the outlined terms and conditions (the "Terms of Use" or "Agreement"), your only recourse is to discontinue use of the Site.

GoldMenu reserves the right to make any changes to our Terms of Use and/or our Privacy Policy without prior notification to you. You should re-read this Agreement containing our Terms of Use and Privacy Policy from time to time in order that you stay informed as to any such changes. If we make changes to our Terms of Use and Privacy Policy and you continue to use our Site, you are impliedly agreeing to the Terms of Use and Privacy Policy expressed herein.

1) We welcome all visitors or browsers, however, to become a member of our Site, you will need to be 18 years of age or older and posses a valid email address. You may use our site to start saving on your dining as soon as you've finished the member sign-up process.

If you are under 18 years of age, you are welcome to browse and share this Site, however, a parent or legal guardian must become a member to partake in any Deal, Discount, Gift Certificate, Offering or Marketing Associate payment on your behalf.

By using this Site, you agree to abide by all of the terms and conditions of this Agreement. By printing any Deal, Discount, Offering, Certificate or other Offering provided through this Site, you represent and warrant that you are 18 years of age or older, and that you agree to abide by all of the terms and conditions of this Agreement and those of the offer/offers you select.

2) General. This Agreement sets forth the terms and conditions that apply to the use of GoldMenu.com by you. By using this Site, other than to view the content, you agree to comply with all of the terms and conditions within.

3) Site Security and Uptime: As with any website, you acknowledge that the World Wide Web / Internet is not a secure environment and sometimes there are interruptions in service or actions and events that are beyond the control of GoldMenu. While we make reasonable precautions against loss or theft of data, GoldMenu shall not be responsible for any data lost while transmitting information on the Internet. While it is our objective to make the Site accessible 24 hours per day, 7 days per week, the Site may be unavailable at any time for any reason including, without limitation, routine maintenance, acts of nature or unforeseen interruption. GoldMenu is not responsible for any data lost due to data corruption caused by any circumstance within or outside of our control.

4) Our site: GoldMenu shall have the right at any time to change or discontinue any aspect or feature including, but not limited to, restaurant participation, offerings or any other content, the merchants within the site, the addition or removal of any areas or features of user content. We may discontinue offering any portion of content within our sites or modify or remove any category of information. We may change or eliminate any transmission method, and may change transmission speeds or other signal characteristics. GoldMenu may request additional information at any time by the diner, you, to update or enhance account information collected for use of the Site. We do not nor will ever sell your information outside of the use within our site without your expressed authorization. It is your responsibility to view your message center for any new or updated offers from our members or third parties.

5) Registration Data: Accurate and complete information about you is required for registration. We do not share or sell your information to any other businesses outside the GoldMenu.com web site without your expressed authorization.

6) Modified Terms: GoldMenu reserves the right at all times to modify any of the conditions of our User Agreement or Terms of Use and/or our Privacy Policy or other applicable policies. All modifications shall be effective immediately upon GoldMenu' posting thereof. Please check back often for updated versions. Terms may be modified as we deem desirable without prior notification to you.

Such changes may include, but are not limited to, the adding of certain fees, the deletion of certain privileges, rights or restrictions of offers. We may also require additional personal information to maintain your account. If we make changes to our Terms of Use and Privacy Policy and you continue to use our Site, you are impliedly agreeing to the Terms of Use and Privacy Policy expressed herein. Any use by you, after such notice, shall be deemed to constitute acceptance by you of such modifications.

7) GoldMenu.com is not responsible for the loss of any accessed or printed discount, coupon or offering. Our restaurant partners provide a limited quantity of offerings for each discount, therefore please use caution when accessing the "Print" feature of the restaurant’s discount/deal. Each "print" request will result in decreasing the total number of offerings available for the selected restaurant by one. This is true whether of not you actually choose to print and use the accesses coupon. Selected deals may be available within the information under “My Deals” tab. No recourse is available, should an unforeseen act occur that renders your "Print" access of a restaurant partner’s coupon un-printable. The total number available from the restaurant will be reduced by one. Please use caution when printing your coupons.

8) This Site is for the commercial use of its Advertisers, Partners and members and all pages contained within, are private property and may not be copied or duplicated without written permission of a senior management executive.

It is forbidden for you to partake in any of the following and you expressively agree not to use this Site to:

• Upload, post, or otherwise make available any content that may be unlawful, harassing, harmful, threatening, liable, defamatory, hateful, racially or ethnically intimidating or hateful towards someone's race, religion, gender or sexual orientation.
• It is forbidden to use this Site in any manner that could harm, damage, disable, or impair the Site.
• It is forbidden to use programs or scripts for any purpose that may interact in any manner with the Site.
• It is forbidden to hone, harvest or collect email addresses for any purpose.
• It is forbidden to hone, harvest or collect contact information of other users, advertisers or restaurant partners for any use by any means.
• Impersonate any person or entity, or falsely state or otherwise misrepresent yourself.
• It is forbidden to use or attempt to use another member’s account without authorization of the owner of the account.

9) Copyright Information. All of the materials or content within GoldMenu.com, including, but not limited to all text, pictures, graphics, video or other files are the Proprietary Copyright Property of GoldMenu Inc., and all rights are reserved.

No Site content may be copied, distributed, or reproduced unless otherwise stated.
Any violation of this policy may result in civil and/or criminal penalties.

10) The Site contains links to other web sites ("Third Party Sites"). Such Third Party Sites are not checked for accuracy, appropriateness, or completeness by GoldMenu. GoldMenu is not responsible for any Third Party Sites accessed through the Site. If you decide to leave the Site and access the Third Party Sites, you do so at your own risk.

11) YOU EXPRESSLY AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. IN NO EVENT WILL GOLDMENU OR ITS DIRECTORS, EMPLOYEES, AFFLIATES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR THE USE OF THE CERTIFICATES, COUPONS, OR DISCOUNTS PRINTED FROM GOLDMENU.COM.

12) GoldMenu shall monitor all of the content of the Site, at all times. GoldMenu shall have the right to remove any information or material that we find to be in violation of the provisions of the terms and conditions or any material that may otherwise be objectionable.

13) Site Feedback: You acknowledge and agree that any comments, suggestions, ideas, feedback, or comments provided by you to GoldMenu, are non-confidential and shall become the sole property of GoldMenu Inc.

GoldMenu shall own exclusive rights to the unrestricted use and dissemination of these submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

14) Membership Termination: GoldMenu shall have the right to immediately terminate any passwords or accounts of the dining member, you, in the event of any conduct by you, that GoldMenu, in its sole discretion, considers to be unacceptable, or in the event of any breach by you, of this Agreement.

Indemnity: You agree to indemnify and hold GoldMenu, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners, and employees, harmless from and against any loss, liability, claim, demand, damages, costs, and expenses, including reasonable attorneys fees, arising out of or in connection with any use of the Site, your conduct in connection with the Site, or with other users of the Site, or any violation of this Agreement or of any law or the rights of any third party.

When you select a restaurant to dine with, you must agree to and abide by all stated terms and condition. Some of our restaurants require a customer survey to be filled for validation of their offer.

Account:

You are required to create and purchase, if specifically required, a membership account in order to print any discounts or certificates offered within GoldMenu.com.

Terms and Conditions for Restaurant Certificates:

• Restaurant Certificates may not be redeemed for cash in part or full and in-as-much have no cash value unless required by law.
• Restaurant Certificates are valid for parties of two or more unless otherwise stated or required by law.
• Restaurant Certificates, Deals and Discounts are for the dining members use only. Valid identification may be requested prior to acceptance of the certificate by the issuing restaurant.
• Restaurant Certificates are designed for dining purposes in-as-much, the use of a Certificates for alcoholic beverages is at the sole discretion of the restaurant.
• Restaurant Certificates may not be combined with any other discounts, certificates, coupons, or promotions unless otherwise stated.
• Restaurant Certificates may not be used for taxes, tips or prior balances unless otherwise stated. Please tip on the pre discounted price.
• Restaurant Certificates are valid for use as stated in the certificate terms.
• Any portion of the Restaurant Certificate not used will not be returned in cash or issued as a restaurant credit, unless otherwise required by law.
• Restaurant Certificates may not be sold, traded or gifted to any person.
• Any reproduction of a Restaurant Certificates is prohibited unless done so in compliance with the law and the Terms of Use of this Site.
• Any attempted redemption not consistent with these Terms of Use will render the Restaurant Certificates void.

Additional Terms and Conditions for All Products:

All discounts or gift certificates ("Certificates") printed from GoldMenu are for promotional purposes and are offered to you below their face value. Certificates shall be honored only in combination with additional consideration, unless otherwise stated, and are subject to the terms and conditions of GoldMenu and the participating restaurant or merchant. Certificates do not provide you with an absolute right of discount without such additional consideration unless required by law. It is the sole discretion of the issuing restaurant to honor their discount or certificates.

As a dining member, by printing a Certificate, you acquire the opportunity to use a Restaurant Certificate issued by any one of the numerous participating non-affiliated restaurants. It's recommended that you use your certificate promptly at the issuing restaurants as each certificate has an expiration date.

The holder and issuer of a Certificate is the issuing restaurant listed on the front of the Certificate and as such has the sole discretion to honor the certificate. As the holder and issuer of the certificate, the restaurant is fully responsible for any and all injuries, illnesses, damages, claims, liabilities and costs suffered by the diner, you, caused in whole or in part by the restaurant. Restaurant Certificates are redeemable in their entirety only and may not be redeemed incrementally or exchanged for cash. You as a dining member must follow and obey the Terms of Use of GoldMenu.com as well as those stated upon the discount certificate otherwise you will forfeit all rights of use of the Certificate.
